Terms & Conditions between Exhibitor (You) and the
Licensor (Us) Affiliated Showsales (2228843 Ontario Inc.)
- Exhibitor agrees to have his/its space in good order and to staff said space at all times while the Show is open.
- Exhibitor shall not assign this license, or sublet any part of the space hereby contracted for without prior permission of the Licensor.
- Licensor reserves the right to change and/or alter booth space as required.
- In the event that the Exhibitor cancels their participation in the show, the rental fees are not refundable.
- Licensor reserves the right to prohibit the sale of any item(s) of Exhibitor’s, which in Licensor’s sole judgment, deem to be not appropriate for any reason.
- Licensor assumes and shall have no responsibility for any property of Exhibitor's used in connection with the Show. Furthermore it is understood and agreed that the Licensor is expressly released and discharged from any and all liabilities, loss, injury or damage to either persons or property that may be sustained on or about the premises of the Show or in connection with the Show.
- Exhibitor shall maintain such insurance as will fully protect Licensor from any and all claims and shall pay any claims for damages, including personal injury, which may arise from the operations of the Exhibitor. Furthermore, Exhibitor agrees to pay all costs for damages which he/it may cause to the building containing the Show.
- Exhibitor is required to hold all necessary licenses including tax licenses.
- If, in the sole opinion of the Licensor, a Show becomes inadvisable for any reason, the Licensor reserves the right to cancel the Show at any time and return all rental to Exhibitor that has been paid up to that time.
- The License may be terminated by the Licensor at any time on the breach of any of the conditions hereof by the Exhibitor, and thereupon all his/its rights hereunder shall cease and terminate, and any payments made by him/it shall be retained by Licensor as liquidated damages for such breach.
- Should Licensor be subject to any dispute or legal proceeding for or on account of action on this contract, or negligence of Exhibitor, Exhibitor shall pay the cost of defending such suit or proceedings including legal fees.
- Exhibitor agrees to distribute set up day Show Passes as supplied by Licensor only to those persons directly involved in the set up of their booth.
- This agreement shall be binding upon the parties hereto and their respective executors, administrators, successors and assigns.
